Allen Systems Group Completes Two Acquisitions
ASG Acquired Manager Software Products and Emprise Technologies Products

NAPLES, Fla. (September 8, 1998) Art Allen, president and CEO of Allen Systems Group, Inc. (ASG) is pleased to announce the company has completed two significant acquisitions. Included in these transactions are the assets of Manager Software Products, Inc. (MSP) and two software products developed by Emprise Technologies, CATSô and CSD/Auditorô.

"Both organizations have an extensive history within the technology industry, which we hope to expand and enhance," stated Allen. "We welcome the addition of MSP and Emprise products to our current suite of software offerings, as well as the increase in the strength of our product lines and the satisfaction of our customers."

These acquisitions complete the third and fourth for ASG this year. In the first half of 1998, ASG acquired two software companies, adding financial, technological, and human capital to an already strong organization. These acquisitions included a French software company, IMPACT Software Technologies, and California-based Firesign Computer Company. Consequently, ASG continues to aggressively propel toward its goal of becoming a $100 million company by 2000.

About the Manager Software Products Acquisition
The recent MSP transaction is ASG's largest acquisition to date. Headquartered in Amsterdam, MSP is the oldest and largest independent repository vendor in the world. Office locations in London, England and Munich and Hamburg, Germany were included in the acquisition and will significantly increase ASG's customer service operations in Europe and distribution channels in Italy and Japan.

As a direct result of the MSP acquisition, ASG has added more than 10 new products to its portfolio and 25 new employees. Moreover, ASG estimates an addition of more than $10 million in revenues to its portfolio. Among the programs that have been acquired and will be distributed by ASG are CONTROLMANAGER, DATAMANAGER, DESIGNMANAGER, DICTIONARYMANAGER, managerVIEW, METHODMANAGER, and SOURCEMANAGER.

The MSP family of products manages information assets such as system architecture, organization structure, IT infrastructure, data, and business process models. In addition, these products provide repository solutions that include business process re-engineering, client/server development and migration, Year 2000 modification, data administration, data warehouse, tool integration, and configuration management. Current MSP customers include 3M Company, AT&T, Chase Manhattan Bank, Chrysler Corporation, Columbia Broadcasting System, Smith Kline Beecham, and United Parcel Services.
